Project Watch Binding Acquisition North West Queensland Copper Development Watch
North West Queensland copper consolidation

AIC Mines has signed a A$120 million deal to acquire the Mt Cuthbert Copper Project.

AIC Mines has entered into binding agreements to acquire 100% of Materra Metals Limited, owner of the Mt Cuthbert Copper Project in North West Queensland, for total consideration of A$120 million — A$100 million in AIC Mines shares and A$20 million in cash.

Mt Cuthbert brings a reported Mineral Resource of 18.7Mt at 1.3% copper for 246,000 tonnes of contained copper, including 11Mt at 1.7% copper in sulphide material. The asset also includes five deposits on granted Mining Leases, an existing 8,000tpa SX-EW plant on care and maintenance, a 64-room camp and a 2,400km² tenement package.

AIC Mines is pairing the transaction with a A$70 million placement to major shareholder Hawke’s Point Resource Finance to fund the cash component and accelerate exploration, resource drilling and development studies. Completion is targeted for early November 2026, subject to shareholder approval and other conditions.

Current stage: binding acquisition agreements and funding are confirmed. Ownership transfer, the major drilling campaign and any future mine restart or standalone development decision remain conditional on completion and subsequent technical work.

Why this stage matters This is not an early exploration farm-in. AIC Mines is proposing to acquire an advanced copper asset with granted Mining Leases, an existing processing facility and a substantial defined resource, while committing fresh funding to a two-year drilling and study program.

AIC Mines has moved from regional growth to a second copper-hub acquisition

The 23 September transaction is a material step in AIC Mines’ strategy to build a multi-asset copper business in North Queensland. Under the binding agreements, AIC Mines will acquire all shares in Materra Metals, the owner of Mt Cuthbert, for A$120 million. The consideration comprises A$100 million of AIC Mines shares plus A$20 million cash.

Existing major shareholder Hawke’s Point Resource Finance has agreed to subscribe for A$70 million of new AIC Mines shares at A$0.795 per share. AIC Mines says the placement will fund the cash portion of the acquisition and accelerate exploration, resource-definition drilling and development studies at Mt Cuthbert.

The acquisition and placement remain subject to shareholder approval. AIC Mines has scheduled an extraordinary general meeting for 4 November 2026 and is targeting completion in early November if the conditions are satisfied.

BBI stage discipline: AIC Mines has signed binding agreements, but Mt Cuthbert has not yet transferred into AIC ownership. The acquisition should not be described as completed until the transaction conditions are satisfied and completion occurs.

Mt Cuthbert brings a defined copper resource, existing plant and a large exploration footprint

Acquired asset base

18.7Mt at 1.3% copper across five deposits, with 246kt contained copper

Mt Cuthbert’s reported Mineral Resource totals 18.7 million tonnes grading 1.3% copper for 246,000 tonnes of contained copper. AIC Mines highlights an 11Mt sulphide component grading 1.7% copper for about 180,000 tonnes of contained copper.

The five deposits sit on granted Mining Leases and remain open along strike and at depth. The broader package covers about 2,400km² and includes 15 priority drill-ready prospects outside the current resource base, giving AIC Mines both a resource-growth program and a regional discovery program to pursue after completion.

Existing infrastructure includes an 8,000tpa SX-EW processing facility currently on care and maintenance and a 64-room accommodation camp. The project operated previously, including between 2014 and 2022, but a future restart is not yet an approved development plan.

Regional fit with Eloise and Jericho

Mt Cuthbert is about 150 kilometres northwest of AIC Mines’ Eloise Copper Mine and about 130 kilometres northwest of Cloncurry. AIC Mines is already expanding Eloise and developing the nearby Jericho ore source, creating an operating and technical base in the same broader Mt Isa–Cloncurry mineral province.

AIC Mines’ official project information shows Eloise as an operating underground copper-gold mine and Jericho as an active development feeding the expanded Eloise processing hub. The company has positioned the Mt Cuthbert acquisition as a second growth platform rather than simply an extension of the Eloise plant feed strategy.

The strategic rationale is therefore regional but not operationally identical. Mt Cuthbert’s future development concept is expected to be tested as a standalone operation capable of producing copper concentrate and cathode, but AIC Mines has described that as an aspirational target subject to further drilling and technical and economic evaluation.

The transaction has a defined completion pathway before the technical program accelerates

Transaction pathway

Shareholder approval is the next immediate gate

AIC Mines has signed binding acquisition and placement agreements. The next formal milestone is shareholder approval at the planned 4 November extraordinary general meeting, followed by satisfaction of the remaining transaction conditions and targeted completion in early November.

The A$70 million placement is an important execution signal because it is intended to fund both the acquisition cash component and the early work program. That gives the proposed new owner a defined source of capital for drilling and studies rather than leaving the transaction dependent on a later, unspecified funding event.

After completion, the technical focus is expected to move quickly to drilling, resource conversion and project studies. A decision to restart or redevelop Mt Cuthbert would come later and would depend on the results of that work.

Transaction completion, drilling and studies are sequential gates. A future mine restart or new development remains conditional.

AIC Mines plans more than 69 kilometres of diamond drilling over the first two years

AIC Mines has outlined an initial two-year program including approximately 60,000 metres of resource-definition diamond drilling and at least 9,000 metres of exploration diamond drilling. The company says work is expected to start after the wet season, assuming the transaction completes.

The resource-definition campaign is intended to improve confidence in the existing deposits, test extensions along strike and at depth and support updated Mineral Resource estimates. The exploration program will test the wider 2,400km² package, where AIC Mines has identified 15 priority drill-ready prospects.

AIC Mines has specifically identified the under-tested sulphide systems beneath deposits historically focused on near-surface oxide copper as a major opportunity. The company plans to apply the exploration and development approach it has used at Jericho, where resource growth and detailed work supported underground development and expansion of the Eloise processing system.

For industry, this means the first confirmed commercial signal is an exploration-and-study program rather than a mine-construction package. The public information supports monitoring capability across diamond drilling, geophysics, assay and laboratory services, camp and logistics support, environmental and heritage services, resource geology, geotechnical work and engineering studies. It does not confirm individual tenders or awards in those categories.

The acquisition lifts AIC Mines’ copper inventory and creates a second development option

Capability areas shown are a Project Watch lens only. They are not confirmed Mt Cuthbert work packages or tender awards.

AIC Mines says Mt Cuthbert will increase its total copper Mineral Resources by 39% to about 878,000 tonnes of contained copper. The transaction therefore adds scale to a company that is already investing in production growth at Eloise–Jericho.

The commercial attraction is not only the tonnes already defined. Mt Cuthbert combines a known resource, granted Mining Leases, historic operations, a processing facility and a large exploration package in the same broader North West Queensland copper province where AIC Mines already operates.

The company has not announced a final capital estimate, development schedule, engineering contractor or construction model for a restarted or new Mt Cuthbert operation. Those decisions depend on resource drilling, metallurgical and technical work, economic studies, approvals and board investment decisions after the transaction completes.

That distinction is important for suppliers. The A$120 million acquisition price is transaction consideration, not project CAPEX or a construction budget available to the market. Likewise, the A$70 million placement supports the acquisition and accelerated work program but should not be interpreted as the value of future contracting packages.

BBI Project Watch Assessment Mt Cuthbert has crossed a meaningful commercial threshold because a producing copper company has committed to acquire the asset and fund an accelerated technical program. The next investable project signal will come from successful completion, drilling results, upgraded resource confidence and the studies that define whether the existing plant is refurbished, expanded or supplemented by a new development pathway.

BBI is tracking the wider North West Queensland resources pipeline through Project Watch and the Queensland Mining Directory, including capability across exploration, engineering, mining services, processing, logistics and regional support.
